These Terms of Service (“Terms”) govern your access to and use of https://www.strawberryng.com (the “Site”) and any services, content, or features offered by Strawberry Technologies Limited (“StrawberryNG”, “we”, “us”, or “our”).
By accessing or using the Site, you agree to be bound by these Terms; if you do not agree, you must not use the Site or our services.
Who we are
Strawberry Technologies Limited is a Nigerian company providing:
Software Development (web, mobile, and automation systems).
Digital Branding & Media (identity design, UI/UX, and creative content).
Procurement & Consultancy (technology advisory and hardware sourcing).
Maintenance (proactive support and lifecycle management of digital products).
Our registered address is First Floor, Administrative Building, MRS Station, Jikwoyi–Karshi Road, Abuja, Nigeria 900110.
Eligibility and user obligations
The Site is intended for users who are at least 18 years old and who have the legal capacity to enter into binding contracts under applicable law.
You agree to use the Site only for lawful purposes and in accordance with these Terms and any applicable laws or regulations in Nigeria or your jurisdiction.
You are responsible for:

Maintaining the confidentiality of any account credentials (if applicable) and for all activities that occur under your account.
Scope of services and separate agreements
Information on the Site about our services is for general description and marketing purposes only and does not, by itself, create a binding contract.
Specific projects and engagements (software development, branding, consultancy, maintenance, or procurement) are governed by separate written agreements such as proposals, statements of work, or service contracts that set out detailed scope, deliverables, timelines, and fees.
In the event of any inconsistency between these Terms and a signed service agreement, the signed agreement will prevail for that engagement.
Quotes, fees, and payments
Any estimates or quotes provided through the Site or by email are indicative only and subject to clarification of scope and a formal written agreement.
Payment terms (such as milestones, retainers, or subscription fees), methods of payment, and consequences of late or non‑payment will be specified in the applicable proposal, statement of work, or invoice.
We reserve the right to:
Change our pricing for future services at any time, provided such changes do not affect already‑signed agreements.
Suspend or discontinue work where payments are overdue, in line with the relevant contract.
Intellectual property
Our IP
Unless otherwise stated in a specific contract, the Site, its design, text, graphics, logos, trademarks, and software are owned or licensed by StrawberryNG and protected by applicable intellectual property laws.
You may not copy, reproduce, modify, distribute, sell, or create derivative works from any part of the Site or its content except as expressly allowed by us in writing.
Project deliverables
Ownership and licence rights in project deliverables (such as source code, designs, or documentation) will be defined in the relevant service agreement.
Typically, we grant clients rights to use deliverables for agreed business purposes upon full payment of applicable fees, while retaining rights to our underlying tools, frameworks, and know‑how.
Acceptable use and prohibited activities
You agree not to:
Use the Site in any way that violates any applicable law, regulation, or third‑party rights.
Attempt to gain unauthorized access to any part of the Site, server, or systems connected to it, including through hacking, password mining, or other illegitimate means.

Different or higher liability caps may apply under individually negotiated service agreements, as expressly stated in those contracts.
Indemnity
You agree to indemnify, defend, and hold harmless StrawberryNG and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with:

Your infringement of any rights of a third party (including intellectual property or privacy rights).
Suspension and termination
We may, at our discretion and without prior notice, suspend or terminate your access to all or part of the Site if:

Any disputes arising out of or relating to these Terms or your use of the Site will first be addressed through good‑faith negotiations and, if not resolved, may be submitted to the competent courts of Nigeria, unless otherwise agreed in a separate written contract.
